Term and Conditions

REQUEST A PROPOSALS

General Terms and Conditions

In spices export collaboration, Trove Spices present the Terms & Conditions that serve as the foundation for mutually beneficial partnerships. We hope for your cooperation

Definitions

  • “Terms and Conditions”: General Terms and Conditions of Sale.
  • “Offer”: Any oral or written proposal from Trove Spices to enter into an agreement.
  • “Client”: The party entering into an agreement or receiving an offer from Trove Spices.
  • “Product / Products”: Spices and affiliated products.
  • “Parties”: Trove Spices and the Client collectively.
  • “In writing”: By letter, fax, or email.

Applicability

  1. These Terms exclusively apply to all Assignments given to Trove Spices.
  2. The Client expressly rejects the applicability of other general terms and conditions invoked by them.
  3. Deviations from and additions to these Terms and Conditions are only valid if agreed in writing between the two separate Parties.

Formation Of The Agreement

  1. All Offers made by Trove Spices are free of obligation unless explicitly stated otherwise.
  2. Trove Spices’ Offers are valid for 7 days, after which they automatically expire unless explicitly stated otherwise.
  3. An Order between the Client and Trove Spices is only valid after Trove Spices has confirmed the Quotation in writing or as discussed orally.

Conformity

  1. Trove Spices makes all statements regarding colors, flavors, scents, numbers, sizes, weights, and/or other indications about Products with the greatest possible care.

  2. The Client must ensure that the ordered Products comply with all government-imposed provisions in the destination country.

Assignments in Progress

  1. The Assignment is carried out with consultation between Trove Spices and the Client, with Trove Spices determining the method.
  2. If Trove Spices wishes to use third parties, approval from the Client is required.

Prices

  1. Prices are net and in USD unless agreed otherwise.
  2. Prices are exclusive of VAT, import/export duties, taxes, or transport costs.
  3. Trove Spices can adjust prices due to increased costs.

Payments

  1. Payment must be made at the latest on the delivery of the Products unless other payment conditions are agreed.
  2. If payment is based on an invoice, it must be made within ten days of the invoice date.
  3. The payment will be used to reduce costs, then interest, and then the oldest outstanding principal.

Delivery/Delivery Time

  1. Specified delivery times are estimates and not deadlines unless explicitly agreed otherwise.
  2. Deliveries are “free of charge including duties” unless agreed otherwise.

  3. The Client is obligated to make purchases, and they must receive the Products in full at the agreed place and time

Risks and Transfer Of Ownership

  1. The risk transfers upon delivery; ownership remains with Trove Spices until full payment.
  2. All delivered Products remain the property of Trove Spices until full satisfaction of all claims.

Quality, Control, and Advertising

  1. We deliver products with usual trade qualities, and deviations are allowed

  2. Trove Spices reasonably guarantees the good quality of its Products.
  3. The Client must check the Products upon receipt and notify Trove Spices of any visible defects in writing.

Confidentiality

  1. The parties must maintain confidentiality regarding all business matters under the Assignment

Term and Conditions of Liability

  1. Trove Spices is not liable for indirect or intangible damage unless caused by gross negligence.

  2. The liability for direct damage limits to 100% of the net invoice amount per Assignment

Force Majeure

  1. In case of force majeure, Trove Spices can cancel the agreement or suspend delivery without compensation.

Termination

  1. Trove Spices has the right to suspend or terminate the agreement if the Client breaches obligations or undergoes significant changes.

Applicable Law, Choice of Forum

  1. Indonesian law governs all agreements; the Surabaya court exclusively settles disputes

Term & Conditions of Privacy

  1. If the Client processes Personal Data, it must comply with legal regulations.

  2. Trove Spices must be informed of the processing method for personal data, which is solely used for agreement execution
